Terms of Service — Klabs Ventures Studios Limited

1) Acceptance and Scope

These Terms govern your access to and use of all services provided by Klabs Ventures Studios Limited (“Klabs,” “we,” “us,” “our”).

By using the Services, you agree to these Terms. If acting for an organization, you confirm authority to bind that organization.

2) Relationship to Kspace Technologies

Klabs operates as a subsidiary of Kspace Technologies and may use shared infrastructure, personnel, and systems to deliver services.

Your agreement remains with Klabs unless otherwise stated in writing.

3) Incorporated Policies

• Privacy Policy
• Cookie Policy
• Acceptable Use Policy
• IP / DMCA Policy
• Data Processing Addendum (DPA)

Order of precedence: Agreement → DPA → Terms → Policies

4) Eligibility

You must meet the minimum legal age in your jurisdiction. Minors require parent or guardian permission.

5) Accounts and Security

• Provide accurate information
• Keep login credentials secure
• Responsible for account activity
• Report unauthorized access immediately

6) Venture Studio Disclosures

• No legal, financial, or tax advice
• No guarantees of funding, revenue, or success
• No fiduciary or advisory relationship

7) Professional Services

Separate agreements such as NDAs, MSAs, SOWs, or Order Forms govern paid services.

8) Fees, Billing, and Refunds

• Fees defined in agreements or checkout
• Payment authorization required
• Taxes may apply
• Fees are non-refundable unless required by law

9) Acceptable Use

You must comply with platform rules. Violations may result in suspension or termination.

10) User Content

You retain ownership of your content but grant Klabs a license to use it for service operation, delivery, and compliance.

11) Confidentiality

Both parties must protect non-public information and use it only for the intended relationship.

12) Intellectual Property

All platform content belongs to Klabs or its licensors. A limited license is granted for use of the Services.

13) Third-Party Services

Third-party tools and integrations are governed by their own terms and policies.

14) Beta Features

Beta features may change, be limited, or be discontinued at any time.

15) Suspension and Termination

Klabs may suspend or terminate access for violations, legal compliance, or security risks.

16) Disclaimer

Services are provided “as is” without warranties of any kind.

17) Limitation of Liability

Liability is limited to the greater of fees paid in the last 12 months or $100 CAD.

18) Indemnification

You agree to indemnify Klabs against claims arising from your use of the Services or violations.

19) Governing Law

Governed by the laws of Ontario, Canada. Contact legal@klabs.ltd before filing disputes.

• Severability
• No waiver
• Assignment restrictions
• Force majeure
